Der Markt und die Unternehmung sind zwei Formen wirtschaftlicher Kooperation. Was unterscheidet sie? Wo ist der Markt, wo die Unternehmung die leistungsfähigere Organisationsform? Der Markt funktioniert dort, wo möglicherweise parallel ablaufende Tauschhandlungen einer homogenen, in ihren Eigenschaften bekannten Ressource getätigt werden sollen. Er ist jedoch keine Einrichtung für sequenziell ablaufende, verschiedenartige Einzelschritte, die logisch oder zeitlich aufeinander folgen müssen. Hier kann die Unternehmung ihre Stärken ausspielen: Sie bringt mehrstufige Prozesse und längerfristige Allokationen zustande. Mit anderen Worten: Die Unternehmung tätigt Investitionen und wickelt sie ab.
