Zusammenfassung
Der vorliegende Überblicksartikel legt den Stand der Forschung zum Zusammenhang von Corporate Governance und Eigenkapitalkosten dar. Im Mittelpunkt des nachfolgenden Beitrags steht dabei die Fragestellung, ob und wie Corporate Governance seinen Niederschlag in den Kapitalkosten eines Unternehmens findet. Neben einer Diskussion des Begriffs der Corporate Governance wird dazu eine Bestandsaufnahme und kritische Würdigung des theoretischen und empirischen Schrifttums vorgenommen. Aufbauend auf dem theoretischen Fundament werden die empirischen Konzepte und ihre Defizite zur Messung der relevanten Dimensionen erörtert und Forschungslücken aufgedeckt, die als Ausgangspunkt für weiterführende Forschungsarbeiten zum Zusammenhang zwischen Corporate Governance und Kapitalkosten aufgefasst werden können.
Abstract
The present paper provides an overview of research concerning the relationship between corporate governance and the cost of equity capital. The purpose is to explore whether and to what extent corporate governance attributes manifest in firms’ cost of capital. Since the separation of ownership and control is seen as the starting point for the academic thinking on this issue, the term of corporate governance from a shareholder perspective is discussed in more detail. Apart from this terminological discussion the emphasis of this paper lies on the critical review of theoretical and empirical literature. In conducting this review, empirical concepts measuring the relevant dimensions and their potential limitations are explained. Based on these limitations I suggest opportunities for expanding research on the relationship between corporate governance and cost of equity capital, thereby showing future research directions.

Die Agency-Kosten setzen sich dabei definitionsgemäß in der Summe aus drei Komponenten zusammen: 1) Überwachungsaufwendungen (Monitoring expenditures) durch den Prinzipal, 2) Bonding-Kosten und 3) dem sogenannten Residualverlust. Der Residualverlust entsteht aus der Entscheidungsdivergenz zwischen Prinzipal und Agenten, unter der Prämisse eines optimalen Monitoring und Bonding. Vgl. dazu Jensen und Meckling (1976, S. 308).

Jedoch ist ebenfalls ein gegenläufiger Effekt denkbar, wenn der Großaktionär seinen Einfluss zur Realisierung privater Vorteile auf Kosten der anderen Anteilseigner nutzt. Vgl. dazu Barclay und Holderness (1989).
Das Schätzrisiko entspricht dem Begriff der Parameterunsicherheit (Parameter Uncertainty), vgl. Coles et al. (1995, S. 347); Weiterhin wird das Schätzrisiko als das zusätzliche Risiko definiert, das in der geschätzten Kovarianzstruktur der Rendite in einem Umfeld unvollkommener Information berücksichtigt wird, vgl. Handa und Linn (1993, S. 89).
Die zu schätzenden Parameter umfassen die Vektoren an durchschnittlichen Renditen und die Kovarianz der der im Portfolio gehaltenen Assets. Vgl. u. a. Barry und Brown (1985) und Coles et al. (1995). Der Hauptunterschied zwischen beiden Arbeiten besteht darin, dass bei ersterer die Kovarianz als bekannt angenommen wird.

Trotzdem erfreut sich die Geld-Brief-Spanne weiterhin reger Beliebtheit zur Operationalisierung von Informationsasymmetrie, respektive Marktliquidität, in empirischen Arbeiten. Vgl. u. a. Daske et al. (2008).
Alternativ verwenden Schipper und Vincent (2003) den ökonomischen Gewinn als Grundlage für die Entwicklung von operablen Maßgrößen für die Ergebnisqualität. Der ökonomische Gewinn ist jedoch ebenfalls nicht beobachtbar. Neben der Bereitstellung entscheidungsnützlicher Informationen hat Rechnungslegung die Funktion der Verhaltenssteuerung und Rechenschaftslegung (Stewardship).
