Zusammenfassung
Aufgrund der deutlichen Unterschiede im materiellen Recht der Mitgliedstaaten ist die Frage nach dem auf die Forderungsabtretung anwendbaren Rechts von großer Relevanz. Die zentrale Frage der Drittwirksamkeit wird in Art. 14 Rom I-Verordnung bisher nicht geregelt. Die Mitgliedstaaten verfolgen verschiedene Lösungsansätze und sehen eine Anknüpfung an das Zessionsgrundstatut, das Forderungsstatut oder den Zedentensitz vor. Die EU-Kommission sollte Rechtssicherheit schaffen und einen Vorschlag zur Änderung der Rom I-Verordnung vorlegen, der die Anknüpfung an den Zedentensitz favorisiert.
Abstract
Due to differences in the law of the Member States, the law applicable to the assignment of claims is of high relevance. However, Art. 14 Rome I Regulation does not contain a conflict-of-laws rule dealing with the important aspect of effectiveness against third parties. The Member States currently adopt different approaches and apply either the law of the contract between assignor and assignee, the law of the underlying debt assigned or the law of the assignor’s habitual residence. In order to establish legal certainty, the Commission should present a proposal to amend the Rome I Regulation that favours the application of the law of the assignor’s habitual residence.

Article 14 – amended: Voluntary assignment and contractual subrogation

Without prejudice to paragraph 2, in the case of a voluntary assignment or contractual subrogation of a claim against another person (the debtor), the law applicable to the assignment or subrogation shall be:

(a)
the law that applies to the contract between the assignor and assignee under this Regulation, provided that law has been chosen by the parties in accordance with Article 3 of this Regulation and is either:

the law governing the assigned or subrogated claim at the date of the assignment; or
-
the law of the country in which the assignor has his habitual residence at the date of the assignment; or, failing that,

(b)
the law governing the assigned or subrogated claim at the date of the assignment.

If the law governing the assigned or subrogated claim cannot be determined at the date of the assignment, the law of the country in which the assignor has his habitual residence at the date of the assignment shall apply.

The law governing the assigned or subrogated claim shall determine its assignability, the relationship between the assignee and the debtor, the conditions under which the assignment or subrogation can be invoked against the debtor and whether the debtor’s obligations have been discharged.

The concept of assignment in this Article includes outright transfers of claims, transfers of claims by way of security and pledges or other security rights over claims.
