Abstract

A paper prepared for Law School students by the Committee on Corporate Law Departments, Section of Corporation, Banking and Business Law of the American Bar Association states:

‘The broad general function of the law department is to delineate legal boundaries within which the management of the corporation is free to exercise its ingenuity in successfully managing the corporate enterprise. Its function is not to cover up or conceal illegal activities. It is the responsibility of corporate lawyers, however, to attempt to find ways legally to achieve proper corporate objectives’.1
