In der juristischen Literatur Deutschlands zum Thema IPO geht man typischerweise davon aus, dass die greenshoe option mit dem Hauptzweck der Stabilisierung des Aktienkurses nach einem Börsengang (Initial Public Offering, IPO) benutzt wird.1 In diesem Beitrag wird rechtsökonomisch und rechtsvergleichend der Grund für die Einführung der overallotment- und greenshoe options in den USA erläutert. Vor diesem rechtsökonomischen Hintergrund soll die Nutzung dieser Finanzinstrumente in Deutschland erklärt werden.
