Zusammenfassung
Kapitel 3 befasst sich mit dem Handlungskontext des Managements und der Frage der Beziehung und Beziehungsgestaltung zwischen Unternehmen und ihrer gesellschaftlichen Umwelt. Dazu wird zunächst in den Stakeholderansatz eingeführt, mit dem die Frage der Legitimität von Unternehmen in den Mittelpunkt rückt und eine erste Orientierung in Bezug auf relevante Bezugsgruppen eines Unternehmens und Ihrer Bedeutung und Relevanz für das Management gewonnen werden kann. Daran anschließend liegt der Fokus auf den beiden zentralen Koordinationsmodi, die in einem Wirtschaftssystem allgemein zur Verfügung stehen, um unterschiedliche gesellschaftliche Interessen zwischen Unternehmen und ihrer Umwelt aber auch innerhalb von Unternehmen (insbesondere Mitbestimmung) aufeinander zu beziehen und abzustimmen. Maßgebend sind hier der strategischorientierte und der verständigungsorientierte Koordinationsmodus, die jeweils auf sehr unterschiedlichen Formen von Rationalität beruhen. Während der strategischorientierte Koordinationsmodus die ökonomische Handlungsrationalität zugrunde legt und auf dem Vertragsmodell der Unternehmung mit der marktlichen Preissteuerung aufbaut, basiert verständigungsorientiertes Handeln auf der sprachlich-argumentativen und dialogisch-konsensualen Entwicklung einer gemeinsamen und geteilten Handlungsorientierung. Erst letztere ermöglicht es, die systemimmanenten Probleme des ökonomischen Handlungsmodells (externe Effekte, Vermachtungsprozesse und Trennung von Eigentum und Verfügungsgewalt) zu korrigieren und durch die verständigungsorientierte Etablierung rechtlicher Restriktionen und unternehmensethisch entwickelter Formen der Selbstverpflichtung zu einem Interessenausgleich im Sinne der gesamtgesellschaftlichen Wohlfahrt zu gelangen. Einer solchen muss sich jedes Management im Hinblick auf die Steuerung der Nachhaltigkeit seiner Wertschöpfung und der mit jeder Geschäftstätigkeit einhergehenden gesellschaftlichen Verantwortung grundsätzlich verpflichtet sehen. Diese verständigungsorientierte Unternehmensethik bzw. eine ethisch basierten Corporate Social Responsibility (CSR) steht in einer globalisierten Wirtschaft vor besonderen Herausforderungen und geht weit über die oft nur sehr plakativen, monologischen und ausschließlich instrumentellen Ansätze zur CSR hinaus.
