Zusammenfassung
Die Corporate Governance börsennotierter Unternehmen gehört zweifellos zu den Forschungsobjekten, die in den letzten zehn Jahren am meisten empirisch untersucht wurden. Die Schlüsselfrage des Beitrags lautet: Gelingt es den empirischen Forschungen zur Corporate Governance (CG) börsennotierter deutscher Unternehmen, diese auf tragfähige Weise zu erfassen? Der Mehrwert des Beitrags besteht darin, (1) auf Basis theoretisch-konzeptioneller Betrachtungen zunächst die zentralen Eigenschaften des CG-Konstrukts (Mehrdimensionalität, Systemhaftigkeit) herauszuarbeiten, (2) hierauf aufbauend ein Strukturschema vorzuschlagen, das empirische Ansätze zur CG-Messung auf aussagefähige Weise zu systematisieren erlaubt, (3) die relevanten Messansätze im Forschungsfeld dahingehend zu analysieren, inwieweit sie Standard-Gütekriterien von Messungen (Validität, Reliabilität, Generalisierbarkeit) erfüllen, (4) Messprobleme dieser Ansätze zu identifizieren und kritisch zu analysieren und (5) konkrete Perspektiven aufzuzeigen, wie die CG börsennotierter deutscher Unternehmen künftig auf fundiertere und empirisch gehaltvollere Weise erforscht werden könnte.
Abstract
The corporate governance of listed companies belongs without a doubt among the empirically most examined research objects in the last ten years. The paper addresses the following research question: How viable are the common measurement approaches used to capture the corporate governance (CG) of companies listed on the German stock market? It adds value in several respects: (1) it works out fundamental characteristics of the CG construct (multidimensionality, system dependency) based on theoretical-conceptual considerations, (2) a structural scheme is suggested that helps to systematize the empirical measurement approaches of CG, (3) the predominant CG-measurement approaches in the research field are analyzed with regard to their ability to meet standard quality criteria of operationalizations (validity, reliability, generalizability), (4) specific measurement problems of these approaches are identified and critically analyzed, (5) the paper provides specific perspectives for future research on how the CG of listed companies may be constructively captured in a more substantiated and empirically sound way.
