Zusammenfassung
Eine relativ junge Entwicklung entfaltet sich heute in den Vereinigten Staaten im Bereich von Corporate Governance und bei den Gerichten, die zuständig sind, diese zu überwachen. Das Ergebnis hiervon bleibt vorerst unklar. Sicher jedoch ist, dass das Ergebnis, wie immer es auch aussehen mag, nicht nur das korporative Amerika und die Wirtschaft beeinflussen wird. Es wird auch die institutionelle Gestalt der Vereinigten Staaten als eine demokratische, weltweit wettbewerbsfähige Gesellschaft tangieren. Dasselbe Ergebnis lenkt unsere Aufmerksamkeit auch darauf, wie die Europäische Union mit Corporate Governance umgeht. Auf welcher Grundlage wird die EU Veränderungen in der korporativen Kontrolle, also bei Fusionen und Übernahmen, erlauben oder verbieten? Nach welchen Richtlinien werden die europäischen Verwaltungsbehörden die Gegenwehr des Managements bei feindlichen Übernahmen, wie auch andere Anwendungen von wirtschaftlicher Rechtsprechung, überwachen und regulieren?
