Abstract

The third core element of a standard corporate form is transferable ownership interest. The attribute of transferable ownership interest shall ensure that the business operation of the FILPE is not interrupted when the identity of its owners changes. An analysis is undertaken of the conditions for, and consequences of a transfer of the membership right in a FILPE. However, the transfer of ownership interest is only one of various ways in which a membership right in a FILPE can be acquired and lost. Therefore, the analysis also includes the establishment and dissolution of a FILPE, the joining and withdrawing from a FILPE and the legal succession because of inheritance as well as the pledge of the ownership interest. This includes an outline of the compensation which must be paid to a withdrawing partner or as a result of the liquidation.
