Abstract

The Foreign-Invested Limited Partnership Enterprise (FILPE) is embedded in the historical development and legal framework of both domestic and foreign-invested partnership enterprises in China. A detailed analysis of the FILPE’s governing laws and regulations, its establishment process and investment restrictions is undertaken. Fundamental elements of a FILPE, including the partnership agreement, its taxation and the treatment in Chinese courts are likewise analysed. An overview is given of the different types of domestic-invested and foreign-invested partnership enterprises which exist in China.

However, Chinese scholars point out that these two households are regulated under the section for Citizen (Natural Person), and categorise them as ‘special subjects of civil law’ (Chen (2016), pp. 633–634, 654; Epstein and Shen (2009), p.
