Abstract
This chapter addresses several of the more significant legal issues that arise in the physician office-practice setting. It cannot be disputed that the practice of medicine is a heavily regulated business—both at the state and Federal levels. Practical considerations preclude a discussion of the laws of any particular state; however, they have been addressed generically.

Mr. Schabes is with the firm of Benesch, Friedlander, Coplan, amp; Aronoff LLP in Cleveland, OH, and is the Chairman of the firm’s Health Care Practice Group. He is a graduate of Duquesne University, magna cum laude (1978) and the Hofstra University School of Law (1981), where he served as an associate editor of the Hofstra University Law Review. His practice focuses on the representation of healthcare providers in regulatory matters and transactions, with a particular emphasis on the representation of physicians and long-term care providers.
Mr. Levine is with the firm of Benesch, Friedlander, Coplan, amp; Aronoff LLP in Cleveland, OH, and is a member of the firm’s Health Care Practice Group. He is a graduate of the University of Michigan (1982) and the Boston University School of Law (1986), where he served as an editor of the American Journal of Law and Medicine. His practice focuses on the representation of health-care providers in regulatory matters, transactions, and civil and administrative litigation.
The authors have arbitrarily opted to use the male pronouns only.
There are other types of legal entities (the general partnership, limited partnership, limited liability partnership) to which the practice of medicine is not particularly well-suited, which will not be discussed.
