Zusammenfassung
Der vorliegende Beitrag behandelt die Frage, inwieweit sich das deutsche Corporate Governance-System im Verlauf der 1990er Jahre der angloamerikanischen Spielart der Unternehmenskontrolle angenähert hat. Die in der bisherigen Corporate Governance-Forschung vorherrschende Neigung zu funktionalistischen Erklärungen wird um eine machttheoretische Perspektive ergänzt, die institutionellen Wandel als Resultat politischer Auseinandersetzungen zwischen Stakeholdern begreift. Anhand empirischer Befunde wird die These formuliert, dass sich der institutionelle Wandel des deutschen Corporate Governance-Systems aufgrund seiner inkrementellen Natur der herkömmlichen Dichotomie zwischen Kontinuität und Wandel entzieht und daher zutreffender als „Hybridisierung“ bzw. als „institutionelle Überlagerung“ charakterisiert werden kann. Die Ausweitung marktförmiger Governance-Mechanismen und der Machtgewinn finanzorientierter Aktionäre werden von einer Reproduktion verhandlungsförmiger Koordinationsmodi begleitet. Die Einspeisung systemfremder Komponenten in weiterhin bestehende Institutionen hat ein Mischsystem entstehen lassen, das sich zwischen koordinierten und liberalen Marktökonomien bewegt.
Abstract
This contribution addresses the question of whether the German corporate governance regime has changed towards the angloamerican corporate governance model in the 1990s. While most approaches within this field of research tend to exclusively focus on functionalist models, this article stresses the impact of power relations on processes of institutional change. Looking at an ambiguous and incremental transformation process, it becomes clear that the dichotomy between continuity and change is not well suited to depict the process adequately. Categories as „hybridization“ or „institutional layering“ seem more useful here. While market forces became more important for corporate governance in Germany, traditional mechanisms were — to some extent — reproduced simultaneously. The upshot is a hybrid corporate governance system which is located between coordinated and liberal market economies.
Résumés
Le présent article s’interroge sur la tendance du système de corporate governance allemand à se rapprocher de la variante anglo-américaine du contrôle des entreprises au cours des années 1990. Dans notre perspective inspirée de la théorie du pouvoir pour compléter l’approche fonctionnaliste jusqu’à présent dominante dans les recherches sur la corporate governance, les transformations institutionnelles apparaissent comme le résultat de luttes politiques entre les actionnaires. A partir de données empiriques, nous exposons la thèse selon laquelle les transformations institutionnelles à l’œuvre dans le système de corporate governance allemand échappent à la dichotomie traditionnelle entre continuité et changement en raison de leur caractère incrémental, de sorte qu’on peut les qualifier de façon plus pertinente d’„hybridation“ ou de „superposition institutionnelle“. La propagation des mécanismes de gouvernance calqués sur le marché et l’accroissement du pouvoir des actionnaires financiers s’accompagne d’une reproduction des modes de coordination basés sur la négociation. L’introduction d’éléments étrangers au système dans les institutions existantes a fait naître un système mixte oscillant entre économie de marché coordonnée et économie de marché libérale.
