Zusammenfassung
Inwieweit sollten Wirtschaftsprüfer für die Vermögensschäden von Anlegern haften (Dritthaftung)? Ein fehlerhaftes Testat führt oft zur Überbewertung des Unternehmens. Auf dem Sekundärmarkt weiß der Anleger ex-ante nicht, ob er Käufer oder Verkäufer überteuerter Aktien sein wird. Er kann einen Schaden erleiden, aber auch vom fehlerhaften Testat profitieren. Bei einem Börsengang (Primärmarkt) weiß der Anleger hingegen ex-ante genau, dass er auf der Käuferseite steht und bei einem fehlerhaften Testat verliert. Daher ist der Anleger auf dem Primärmarkt an einem höheren Schutzniveau interessiert. Wir plädieren daher: Die Prospekthaftung des Wirtschaftsprüfers sollte auf einfacher Fahrlässigkeit basieren. Die Haftung für einen fehlerhaften Jahresabschluss eines bereits börsennotierten Unternehmens sollte dagegen weniger scharf sein und entweder auf den Schaden der Anlegergemeinschaft (näherungsweise des Unternehmens) beschränkt sein oder grobe Fahrlässigkeit vorsehen.
Summary
To which extent an auditor should be held liable for damages that investors (third parties) incurred due to false audits? From a law and economics point of view damage compensation should be equal to social loss. If there are some investors who lose whereas others benefit from false audits the individual loss of the losing investors exceeds social loss. This might be the case for a false audit on a financial report of a firm listed in the stock market (secondary market case). At the primary market, however, investors know ex-ante that they will not gain from a wrong audit preparing a going public. Social loss is higher then. Hence, the liability regime should be more restrictive to auditors in the primary market. Thus, we advocate simple negligence and third party liability for audits in the primary market. For audits in the secondary market, we suggest either third party liability with gross negligence or liability only in favour of the audited firm (as a representative for all investors) with simple negligence.
