Abstract

When I set out to study the many complex issues related to the role of the board in a corporation, my hypothesis was (and remains) that a board should be given a role that is more focused on value creation and active involvement in the key strategic initiatives and core business processes of the company. The implicit assumption was that this would not be the case in many corporations, and that a great potential for improvement and change for the better exists.
