Zusammenfassung
Die Grenzziehung zwischen Eigenkapital und Fremdkapital gehört weltweit zum traditionsreichen Kernbestand des Gesellschafts- und Steuerrechts. Ihre Tragfähigkeit für die nationale und internationale Besteuerungsordnung wird indessen zunehmend in Zweifel gezogen. Reformüberlegungen im In- und Ausland sind darauf gerichtet, die Qualifikation von Finanzinstrumenten als Eigen- oder Fremdkapital entweder für rechtlich überflüssig zu erklären oder ihrer wirtschaftlichen Bedeutung zu berauben. Vor dem Hintergrund der umfangreichen rechtsvergleichenden Untersuchungen in diesem Band sowie der ökonomischen Sachlogik dieser Differenzierung wird im nachstehenden Kapitel eine Neuordnung des Verhältnisses zwischen Fremd- und Eigenkapital unternommen. Dabei wird der gesellschaftsrechtliche Hintergrund (einschließlich der Flexibilität) der jeweiligen Kapitaltitel ausgeleuchtet und die steuerliche Zwecksetzung der maßgeblichen Normen überprüft. Es zeigt sich, dass im Einkommensteuerrecht, im Körperschaftsteuerrecht sowie im internationalen Steuerrecht unterschiedliche gesetzgeberische Anliegen die Differenzierung zwischen Fremd- und Eigenkapital prägen und daher auch unterschiedliche Abgrenzungen erfordern. Schließlich werden weitergehende Reformoptionen – namentlich die „allowance for corporate equity“ und die „comprehensive business income tax“ diskutiert.
