Contract Clarity and Usability through Visualization

Abstract

In the crafting of commercial contracts, many participants are involved, often professionals from different countries and backgrounds. The challenge, then, is to achieve a balance between the business and legal requirements and to facilitate communication and coordination. While some contracts may need to work as evidence in court, most contracts do not. Instead, they need to work as business tools for the parties so they get the results they want to accomplish. Still today, most contracts seem to be written by lawyers for lawyers, the goal being water-tight and legally “perfect” documents. Such documents are not easy to read, comprehend, or implement. If implementation fails, business and legal problems will follow. To promote business success and prevent unnecessary problems, contracts should be crafted and communicated in more user-friendly ways. This requires overcoming a number of challenges, both perceived and real.
